Terms of Service

1. Acceptance of Terms

By accessing or using BoxxCat (“Service”), provided by miniEcho (“we”, “us”), you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must not use the Service.


2. Description of Service

BoxxCat is a platform-agnostic AI chatbot SaaS that enables automation and “Smart Commands” across third-party messaging platforms. The Service acts as an interface between users, external platforms, and third-party AI providers.


3. User Accounts

You are responsible for maintaining the security of your account and credentials. You are responsible for all activity conducted through your account.

We are not liable for any loss or damage resulting from unauthorized access due to your failure to safeguard your account.


4. User Authority and Capacity

You represent that you are acting on your own behalf unless explicitly authorized to act for an organization or entity.

If you use the Service on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.


5. Acceptable Use

You agree not to:

  • Use the Service for illegal, harmful, or abusive purposes
  • Violate any applicable laws or regulations
  • Generating deceptive political content or deepfakes
  • Use the Service in environments where you do not have the right to authorize data processing
  • Circumvent safeguards, rate limits, or access controls
  • Using the service to automate spam on messaging platforms
  • Reverse engineer or attempt to extract underlying models, prompts, or system design
  • Abuse, overload, or disrupt the Service or infrastructure

We reserve the right to investigate and take action, including suspension or termination.


6. User Responsibility for Chatroom Data

By using the Service in any chatroom, group, or channel (a “Shared Environment”), you acknowledge and agree that:

  • Authorization of Processing: You have chosen to allow BoxxCat and its third-party providers to process data originating from that environment, including content created by other participants, regardless of your role or administrative status in that environment.

  • Mandatory Notice Requirement: Before, or immediately upon the Service’s entry into a Shared Environment, you must provide clear and prominent notice to all participants that an AI service is active and processing data. This notice must remain accessible or be repeated as necessary for new participants. Failure to provide such notice constitutes a material breach of these Terms and may result in immediate suspension or termination of the Service.

  • Responsibility for Participants: You are solely responsible for ensuring that all participants are informed of, and have provided necessary consent for, such data processing where required by applicable local and international laws (including but not limited to the Privacy Act 1988 (Cth) and GDPR).

  • Assumption of Risk: You accept full responsibility for any claims, complaints, or disputes arising from data processing in Shared Environments. You acknowledge that miniEcho does not monitor Shared Environments for participant consent.

  • Indemnification: You agree to indemnify and hold harmless miniEcho from any claims, damages, liabilities, or expenses (including legal fees) arising from your use of the Service in environments where you have failed to provide notice or lack sufficient authority or consent.


7. AI-Generated Output

The Service relies on third-party AI providers to generate outputs.

Outputs may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing and validating outputs before relying on them.

We make no guarantees regarding accuracy, reliability, or suitability.


8. No Expectation of Confidentiality

The Service is not intended for processing confidential, sensitive, or regulated information.

You agree not to submit such information unless you have the necessary rights and consents.


9. Usage Limits and Abuse

We may impose limits, throttle usage, or suspend access at our sole discretion to prevent abuse, excessive usage, or unexpected costs.

You are responsible for all usage associated with your account, including automated or integrated systems.


10. Third-Party Services and Platforms

The Service depends on third-party providers (e.g., AI APIs, messaging platforms).

You agree to comply with their terms and policies.

We are not responsible for their availability, behavior, data handling, or any restrictions, suspensions, or bans imposed by them.


11. Intellectual Property

  • Service: All code, design, branding, and system logic remain the property of miniEcho.
  • Your Content: You retain ownership of content you provide and outputs generated.
  • License: You grant us a limited, non-exclusive license to process your content solely to operate and improve the Service.

12. Beta Service

The Service may be provided in a beta or experimental state. Features may be incomplete, unstable, or subject to change.

We may terminate a Beta Service at any time without notice and are not obligated to transition Beta features to a final release.

You accept the risks associated with such use.


13. Service Availability and Changes

The Service is provided “as is” and “as available.”

We may modify, add, remove, or discontinue features at any time without notice or obligation to maintain compatibility.


14. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason.

You may stop using the Service at any time.


15. Limitation of Liability

To the maximum extent permitted by law, miniEcho is not liable for any indirect, incidental, or consequential damages, including:

  • Loss of data
  • Loss of access to third-party platforms
  • Account bans or restrictions
  • Business interruption or lost profits

Our total liability shall not exceed the amount you paid (if any) to use the Service to the extent permitted by law.


16. High-Risk Use Prohibited

The Service is not intended for use in high-risk environments requiring guaranteed accuracy, including medical, legal, financial, or safety-critical applications.


17. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.


18. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Disputes shall be subject to the exclusive jurisdiction of the courts of NSW.
